1Introduction

Welcome to the Qulis national platform.

Qulis is a smart platform for connecting industries, companies, knowledge-based companies, startups, consultants, investors, suppliers, academic centers and the other players in the country’s industry and technology ecosystem.

By using Qulis services, you confirm that you have read, understood and accepted these Terms of Use. If you do not agree with any provision of this document, please do not sign up for or use the platform’s services.

2Definitions

In this document:

  • Qulis: a platform for introducing businesses, presenting capabilities and searching for industrial and commercial needs.
  • User: any natural or legal person who becomes a member of Qulis.
  • User account: each member’s unique identifier.
  • Content: any text, image, file, information, document, project, product or data entered by users.
  • Services: all current and future features of Qulis.

3Membership conditions

Membership of the Qulis platform is open to all natural and legal persons active in industry, technology, trade, investment, research, education, consulting and other related sectors. Signing up for Qulis constitutes full acceptance of the Terms of Use, the Privacy Policy and the other regulations announced by the platform.

Users undertake to enter all identity, organizational, contact and other required information in the system accurately, completely and up to date. Users are responsible for the accuracy and authenticity of the information and documents they upload; if information provided is false, incomplete or misleading, Qulis has the right to restrict, suspend or delete the user account.

Each natural or legal person may operate on the platform only under their real identity. Creating a user account under a false identity, using other people’s information, forging documents, falsifying an organizational position, or any action intended to deceive other users or the system is prohibited and will result in the necessary restrictions being applied.

Users must keep their account information confidential and use a suitable, secure password. All activity carried out through a user account is deemed to be that of the account holder, who is responsible for it. If users notice any unauthorized access to or misuse of their account, they must notify Qulis support as soon as possible.

Qulis members undertake to observe professional principles, business ethics, mutual respect, honesty, transparency and the current laws of the Islamic Republic of Iran in all their interactions with other users. Publishing false information, illegal content, offensive material or misleading advertising, infringing intellectual property rights, distributing malware, or any action that harms users or the platform is prohibited.

Where providing certain services requires identity verification, validation or review of professional documents, users must provide the platform with the required information and documents. To strengthen the credibility of the ecosystem, Qulis may enable certain features and services only after the identity verification or document approval process has been completed.

As the platform’s capabilities are developed gradually, services such as smart ranking and verification, the smart matching engine, business valuation, the problem-solving system, Karnama, barter, advertising, financial services, project tokenization and other specialist services may be added to Qulis in the future. Using any of these services may require accepting terms specific to that service, which will be communicated to users when the service is offered.

Users accept that Qulis is a facilitating platform for connection, collaboration and the provision of services among members of the ecosystem, and that responsibility for agreements, contracts, transactions, and financial or legal obligations concluded between users outside the platform’s official services rests with the parties to that interaction, except where Qulis formally acts as the operator, supervisor or provider of a specific service.

As the owner and operator of the Qulis platform, Halgheh Hooshmand Zanjireh Co. reserves the right, in order to improve service quality, maintain security, comply with legal requirements and protect users’ rights, to amend membership processes, carry out identity verification, review information, suspend or delete accounts in breach, and update the membership conditions. Continued use of the platform after these changes are made constitutes acceptance of the updated membership conditions.

4Permitted use

The Qulis platform is designed to provide a smart environment for interaction, collaboration, business development, knowledge exchange, value-chain development and connecting the players in the industry, technology, trade and investment ecosystem. Users undertake to use all features, services and infrastructure of this platform solely within the framework of the laws of the Islamic Republic of Iran, professional principles, business ethics and the provisions of these Terms.

Qulis services must be used for the purpose of building professional connections, presenting capabilities, offering products and services, developing industrial and commercial collaboration, raising investment, providing consulting, technology transfer, knowledge exchange, market development, specialist networking and other lawful activities related to the platform’s objectives. Any use outside this framework that harms users, disrupts the system or damages the platform’s credibility is contrary to these Terms of Use.

Users must publish information, documents, images, files, projects, products, services, articles, collaboration opportunities and any other content on the platform in line with the principles of honesty, transparency and accountability. Publishing false, misleading or incomplete information, or any content that deceives other users or creates unfair competition, is not permitted, and the publisher bears legal responsibility for it.

Using Qulis for activities that conflict with the country’s laws, the rights of individuals, intellectual property rights or information security is prohibited. These include identity fraud, forging documents, infringing the rights of authors and rights holders, unauthorized access to other users’ information, attempts to break into the system, distributing malware, sending unsolicited messages, deceptive advertising, unauthorized collection of user information, reverse engineering the system, using bots or automated tools to extract information, and any action that disrupts the platform’s operation.

Users also undertake not to use Qulis features to publish offensive material, defamation, falsehoods, content contrary to the law and public morals, discriminatory or threatening content, or any information that infringes the rights of others.

To maintain security, service quality and trust among members of the ecosystem, Qulis reserves the right to monitor users’ activity for compliance with the law and these Terms of Use. If any unauthorized use, misuse of the system’s features or behavior contrary to the platform’s objectives is observed, Halgheh Hooshmand Zanjireh Co. may, without this creating any right or claim for the user, issue a warning, restrict certain services, temporarily suspend or permanently delete the user account and, where necessary, refer the matter to the competent authorities in accordance with the law.

Users accept that responsible, professional and lawful use of the platform is a fundamental condition for developing a trustworthy ecosystem, and that observing these principles will enable effective collaboration, strengthen members’ credibility and improve the quality of the services provided on Qulis.

5Intellectual property

The Qulis platform is the result of the intellectual, technical and operational investment of Halgheh Hooshmand Zanjireh Co., and all intellectual property rights relating to its software, system architecture, design, content, services, algorithms, brand and other intellectual assets are protected under the laws of the Islamic Republic of Iran and accepted international principles. Using Qulis services in no way transfers ownership of, or grants users any rights to exploit, the platform’s intellectual assets.

To protect the rights of all stakeholders, the following provisions are binding on all users:

  • All economic and moral rights relating to the name “Qulis”, its logo, trademark, internet domains, graphic design, user interface (UI), user experience (UX), software architecture, database, documentation, information structure, algorithms, software engines and all other components of the platform belong to Halgheh Hooshmand Zanjireh Co.
  • All technologies and smart engines, including the smart ranking and verification engine, the smart matching engine, the documentation engine, the problem-solving system, Karnama, Qulis Utopia and other services developed or under development, form part of the platform’s intellectual assets, and the rights to exploit them belong to the company.
  • Users own the information, documents, images, products, services, articles, projects, portfolios, trademarks and other content they personally enter or upload to the platform, provided that the legal rights to that content belong to them.
  • By uploading information and content to Qulis, users grant Halgheh Hooshmand Zanjireh Co. a non-exclusive, usable license with no geographical limitation to use that content solely for providing the platform’s services, displaying profiles, search engines, smart engines, analytical reports, presenting capabilities and developing Qulis services.
  • This license does not transfer ownership of the content to Qulis, and the original ownership rights remain with the user or the legal owner of the work.
  • Using, copying, republishing, extracting, selling, reverse engineering, modifying, translating, publishing or commercially exploiting any part of the Qulis software, database, content, design or services without written permission from Halgheh Hooshmand Zanjireh Co. is prohibited.
  • Using the Qulis name, logo, brand, trademark or visual identity in advertising, products, websites, software or any commercial activity without official permission from the company is not permitted.
  • If a user publishes content that infringes the intellectual property rights of third parties, that user bears full legal responsibility for it, and Qulis may remove the content or restrict the user account after receiving supporting documents or notice from the competent authorities.
  • Where Qulis collaborates with other natural or legal persons to develop joint services, products or projects, ownership of the intellectual property rights and the exploitation of the results of that collaboration will be determined by specific contracts between the parties.
  • To protect its intellectual assets, Qulis has the right to take the necessary legal action, in accordance with the country’s current regulations, against any unauthorized use, infringement of intellectual property rights, copying, misuse of its technologies or unlawful exploitation of the platform’s brand and services.

Protecting intellectual property rights is one of the main pillars of the sustainable development of the Qulis ecosystem, and observing them lays the foundation for trust, innovation, investment and effective collaboration among all members of this ecosystem.

6Ranking and verification

In future versions:

  • Smart recommendations
  • Data analysis
  • Scoring

may be performed by artificial intelligence algorithms.

The results of these analyses are solely decision-support tools and do not replace users’ final decisions.

7Future services

As the platform’s capabilities are developed gradually, specialist services may be added to Qulis in the future. Using any of these services may require accepting terms specific to that service, which will be communicated to users when the service is offered.

8User responsibilities

As members of a professional ecosystem, users of the Qulis platform undertake to use all of the system’s services and features in compliance with the law, the principles of professional ethics, accountability and good faith. Each user is responsible for all activity carried out through their user account and must take due care to maintain security, the accuracy of information and respect for the rights of other users.

Users’ responsibilities include the following:

  • Providing identity, organizational, professional and contact information that is accurate, complete, valid and up to date, and giving notice if it changes.
  • Ensuring the accuracy of all documents, records, certificates, licenses, images, products, services, projects and other information uploaded to the platform.
  • Keeping the username, password and other security information of the user account confidential and preventing access by unauthorized persons.
  • Notifying Qulis support immediately on noticing any unauthorized access, account theft or possible misuse of login information.
  • Complying with the laws of the Islamic Republic of Iran, the regulations governing e-commerce, intellectual property rights, privacy laws and all other applicable regulations when using the platform’s services.
  • Observing the principles of professional ethics, mutual respect, honesty, transparency and responsible behavior in all interactions with other users and members of the ecosystem.
  • Refraining from publishing information that is false, misleading, offensive, illegal or infringes the rights of others, or any content that harms other users or the platform’s credibility.
  • Using Qulis services solely for lawful and professional purposes related to the development of business, industry, technology, trade and investment.
  • Respecting the intellectual property rights of other users and refraining from copying, using or publishing their information, documents, images, products, trademarks or other intellectual assets without authorization.
  • Refraining from any action that disrupts the system’s operation, reduces security, places an abnormal load on the technical infrastructure or harms the platform’s performance.
  • Full responsibility for negotiations, agreements, contracts, financial obligations, purchases, sales, investments or other interactions with other users rests with the parties to that interaction, except where Qulis formally acts as the provider or supervisor of the service.
  • Cooperating with Halgheh Hooshmand Zanjireh Co. in identity verification, validation and document review processes, and responding to legal or technical requests related to the use of the platform’s services.
  • Complying with the specific terms of each current or future Qulis service, including the smart ranking and verification engine, the smart matching engine, Karnama, the problem-solving system, Qulis Utopia, barter, business valuation, advertising and other specialist services, when using them.
  • Accepting that all use of Qulis services must serve the creation of a transparent, trustworthy and professional ecosystem, and that any behavior contrary to the platform’s objectives and regulations may lead to restriction, suspension or deletion of the user account in accordance with current laws and regulations.

Halgheh Hooshmand Zanjireh Co. reserves the right, where a violation is established, false information is provided, the system’s features are misused, the rights of other users are infringed or any action is taken contrary to these Terms of Use, to issue a warning, restrict services, temporarily suspend or permanently delete the user account and, where necessary, pursue the matter through the legal authorities.

9Qulis’s responsibilities

As the owner and operator of the Qulis platform, Halgheh Hooshmand Zanjireh Co. is committed to providing its services on the basis of professional principles, transparency, information security, sustainable development and continuous improvement. Qulis aims to create a secure, trustworthy and smart environment for developing industrial, commercial, technological and investment collaboration. However, given the nature of the platform and its role as a facilitator of interactions between users, Qulis’s responsibilities are defined within the following framework:

  • Providing suitable software infrastructure for delivering services and working continuously to improve the system’s quality, stability, efficiency and reliability.
  • Adopting customary technical, managerial and security measures to protect users’ information, maintain the confidentiality of data and prevent unauthorized access.
  • Continuously developing, maintaining and updating the platform, its features, capabilities and services to improve the user experience and meet the needs of the industry and technology ecosystem.
  • Handling users’ requests, reports, complaints and suggestions through the official support channels and endeavoring to respond in a timely manner.
  • Maintaining impartiality in providing services and giving all users equal opportunity to use the platform’s features, in accordance with current laws and regulations.
  • Using users’ information solely within the framework of the “Privacy Policy” and to provide the services requested, except where disclosure of information is required by law or by order of the competent authorities.
  • Endeavouring to improve the accuracy and quality of smart services, including the smart ranking and verification engine, the smart matching engine, the problem-solving system and other analytical services, with the emphasis that the results of these services are for decision support and will not replace expert review or users’ final decisions.
  • Enabling users to correct, complete and update their information within the features provided in the system.
  • Taking the necessary measures to prevent misuse, illegal activity and breaches of system security, and to protect users’ rights and the platform’s interests.
  • Updating the Terms of Use, privacy policies and other platform regulations as needed and informing users appropriately.

At the same time, users accept that Qulis is a facilitating platform and a provider of digital services and will not be responsible for the following:

  • The accuracy, completeness or currency of information, documents, products, services or content entered or published in the system by users.
  • The quality, quantity, price, terms of performance, manner of service delivery or contractual obligations between users, except where Qulis is formally a party to the contract or the direct provider of that service.
  • Damages arising from agreements, contracts, investments, purchases and sales, barter, commercial collaboration or other interactions carried out directly between users.
  • Disruptions or limitations caused by factors beyond Qulis’s control, including internet outages or disruptions, telecommunications infrastructure problems, large-scale cyber attacks, force majeure, decisions of legal authorities, sanctions or other similar circumstances.
  • Decisions users make on the basis of the system’s analyses, recommendations or outputs. Final responsibility for evaluation, review and decision-making in all commercial, financial, investment and legal matters rests with the users themselves.

Halgheh Hooshmand Zanjireh Co. is committed, through continuous technology development, the use of current standards, compliance with legal requirements and constructive engagement with members of the ecosystem, to making the Qulis platform a trustworthy, smart and value-creating environment for the country’s industry, technology, trade and investment.

10Account suspension or deletion

To maintain security, trust and the health of the ecosystem and to protect users’ rights, Halgheh Hooshmand Zanjireh Co., as the owner and operator of the Qulis platform, reserves the right, where a violation of the Terms of Use, the platform’s rules and regulations or the country’s current laws is established, to restrict, temporarily suspend or permanently delete the user account. These measures will be taken in line with the principle of proportionality and the available evidence and, where possible, after reviewing the matter and informing the user.

A user account may be suspended or deleted in the following cases:

  • Providing false, forged or misleading identity, organizational or professional information.
  • Impersonating natural or legal persons, using fake records or documents, and misusing the identity of others.
  • Violating the Terms of Use, the Privacy Policy or other platform regulations and guidelines.
  • Publishing content that is illegal, offensive, criminal, contrary to professional ethics or infringes the rights of other users.
  • Infringing the intellectual property rights, trademarks, copyright or trade secrets of natural or legal persons.
  • Engaging in fraudulent activity, scams, deceiving users or any misuse of the platform’s features and services.
  • Attempting to break in, cause disruption, carry out a cyber attack, reverse engineer, extract information without authorization, or take any action against the system’s security, stability or operation.
  • Using the user account for illegal activities, money laundering, financing unauthorized activities or any action contrary to the laws of the Islamic Republic of Iran.
  • Repeatedly sending unsolicited advertising messages (spam), harassing other users or misusing the platform’s communication tools.
  • Refusing to cooperate in identity verification or validation processes, or to provide the necessary documents, where these are required for continued use of the services.
  • Misusing the results of the smart ranking and verification engine, the smart matching engine or other Qulis specialist services to create unfair competition, deceive other users or obtain unlawful benefits.

Where low-severity or correctable violations are observed, Qulis may, before applying restrictions, issue a warning, request correction of information or temporarily suspend part of the services. Where a violation is serious, repeated or security-related, Halgheh Hooshmand Zanjireh Co. may block or delete the user account temporarily or permanently without prior notice.

If an account is suspended, the user’s access to all or part of the platform’s services will be restricted until the cause of the suspension is resolved. If an account is permanently deleted, the user’s access to the platform’s services will end and the account information will be managed in accordance with the Privacy Policy, legal requirements and data retention periods.

Users who believe a decision has been made in error can submit a request for review through the official Qulis support channels. After reviewing the available documents and records, Halgheh Hooshmand Zanjireh Co. will inform the user of the final outcome.

Halgheh Hooshmand Zanjireh Co. also reserves the right to suspend or delete a user account and take other necessary legal action where required by law, by rulings of judicial authorities or by order of the competent authorities.

11Changes to these Terms

As the owner and operator of the Qulis platform, and in view of the continuous development of services, changes in technology, legal requirements, users’ needs and the growth of the ecosystem, Halgheh Hooshmand Zanjireh Co. reserves the right to review, amend or update the Terms of Use, service-related policies, operating procedures and other platform regulations at any time.

Changes may include the following:

  • Amending, supplementing or updating the provisions of the Terms of Use, the Privacy Policy and the platform’s other legal documents.
  • The addition of new services, capabilities and features, such as smart services, data analysis tools, business services, investment services, specialist marketplaces and other features developed in the future.
  • Changing, developing or improving the processes for sign-up, identity verification, validation, ranking and service delivery to users.
  • Amending the technical, security and operational requirements related to use of the platform.
  • Changes to how certain services are provided, the conditions for using premium features, or the requirements relating to the different user roles in the Qulis ecosystem.
  • Making the changes required to comply with the laws, regulations and guidelines of the competent authorities.

The updated version of the Terms of Use becomes valid and binding once it is published on the Qulis website or system. Users must read the announced changes before continuing to use the platform’s services and comply with the new provisions.

Where changes have a significant effect on users’ rights, how they use the services or how their information is processed, Qulis will endeavor to inform users of important changes through official channels such as in-system notifications, email or other available means of notification.

Continued use of the platform after changes are made and the new version of the Terms of Use is published constitutes acceptance of the amended provisions. If a user does not agree with the new changes, they may, in accordance with the defined procedures, submit a request to stop using the services or to delete their user account.

In all amendments and updates, Halgheh Hooshmand Zanjireh Co. is committed to the principles of transparency, maintaining users’ trust, compliance with legal requirements and the sustainable development of the Qulis ecosystem.

12Governing law

These Terms shall be interpreted in accordance with the laws of the Islamic Republic of Iran.
